Welcome to www.lifesimple.com. The www.lifesimple.com website (the "Site") is comprised of various web pages operated by LS SGB, LLC ("LifeSimple"). www.lifesimple.com is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). Your use of www.lifesimple.com constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference.
 
www.lifesimple.com is a Information Site
LifeSimple combines the Family Calendar with Value-added Promotions. LifeSimple is a free, web-based calendar that services the household, community and local business. Users create Personal (private) & Group (public) Calendars for community groups, schools, sports, recreation, entertainment and others. Users browse Public Calendars and add what they are interested in to their LifeSimple Calendar. Value-added, money-saving promotions for goods and services associated with events are offered.
 
Privacy
Your use of www.lifesimple.com is subject to LifeSimple's Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.
 
Electronic Communications
Visiting www.lifesimple.com or sending emails to LifeSimple constitutes electronic communications. No unlawful or prohibited use/Intellectual Property
You are granted a non-exclusive, non-transferable, revocable license to access and use www.lifesimple.com strictly in accordance with these terms of use. As a condition of your use of the Site, you warrant to LifeSimple that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. Content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of LifeSimple or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. Certain software used on the site is property of VMware and its license is included on this site. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.
 
Certain software on this site is patent pending to LifeSimple.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site with the exception of the calendars and events that you publish or are for your use. You may modify and print the calendars and events that you publish or are for your use. LifeSimple content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use, and will make no other use of the content without the express written permission of LifeSimple and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of LifeSimple or our licensors except as expressly authorized by these Terms.
 
Use of communication services
The Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, "Communication Services"), you agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service.
 
By way of example, and not as a limitation, you agree that when using a Communication Service, you will not: defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information; upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents; upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer; advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages; conduct or forward surveys, contests, pyramid schemes or chain letters; download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner; falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded, restrict or inhibit any other user from using and enjoying the Communication Services; violate any code of conduct or other guidelines which may be applicable for any particular Communication Service; harvest or otherwise collect information about others, including e-mail addresses, without their consent; violate any applicable laws or regulations.
 
LifeSimple has no obligation to monitor the Communication Services. However, LifeSimple reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. LifeSimple reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.
 
LifeSimple reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in LifeSimple's sole discretion.
 
Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. LifeSimple does not control or endorse the content, messages or information found in any Communication Service and, therefore, LifeSimple specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized LifeSimple spokespersons, and their views do not necessarily reflect those of LifeSimple.

International Users
The Service is controlled, operated and administered by LifeSimple from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the LifeSimple Content accessed through www.lifesimple.com in any country or in any manner prohibited by any applicable laws, restrictions or regulations.
 
Indemnification
You agree to indemnify, defend and hold harmless LifeSimple, its managers, officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. LifeSimple reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with LifeSimple in asserting any available defenses.

Termination/access restriction
LifeSimple reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Texas and you hereby consent to the exclusive jurisdiction and venue of courts in Texas in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.
 
You agree that no joint venture, partnership, employment, or agency relationship exists between you and LifeSimple as a result of this agreement or use of the Site. LifeSimple's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of LifeSimple's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by LifeSimple with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
 
Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and LifeSimple with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and LifeSimple with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent an d subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.
 
Changes to Terms
LifeSimple reserves the right, in its sole discretion, to change the Terms under which www.lifesimple.com is offered. The most current version of the Terms will supersede all previous versions. LifeSimple encourages you to periodically review the Terms to stay informed of our updates.

Zimbra Public License, Version 1.4 (ZPL)

This Zimbra Public License (this “Agreement”) is a legal agreement that describes the terms under which Zimbra Software, LLC, a Texas limited liability company (“Zimbra”) will provide software to you via download or otherwise (“Software”). By using the Software, you, an individual or an entity (“You”) agree to the terms of this Agreement.

In consideration of the mutual promises and upon the terms and conditions set forth below, the parties agree as follows:

  • 1. Grant of Copyright License
    • 1.1 - Subject to the terms and conditions of this Agreement, Zimbra hereby grants to You, under any and all of its copyright interest in and to the Software, a royalty-free, non-exclusive, non-transferable license to copy, modify, compile, execute, and distribute the Software and Modifications. For the purposes of this Agreement, any change to, addition to, or abridgement of the Software made by You is a “Modification;” however, any file You add to the Software that does not contain any part of the Software is not a “Modification.”
    • 1.2 - If You are an individual acting on behalf of a corporation or other entity, Your use of the Software or any Modification is subject to Your having the authority to bind such corporation or entity to this Agreement. Providing copies to persons within such corporation or entity is not considered distribution for purposes of this Agreement.
    • 1.3 - For the Software or any Modification You distribute in source code format, You must do so only under the terms of this Agreement, and You must include a complete copy of this Agreement with Your distribution. With respect to any Modification You distribute in source code format, the terms of this Agreement will apply to You in the same way those terms apply to Zimbra with respect to the Software. In other words, when You are distributing Modifications under this Agreement, You “stand in the shoes” of Zimbra in terms of the rights You grant and how the terms and conditions apply to You and the licensees of Your Modifications. Notwithstanding the foregoing, when You “stand in the shoes” of Zimbra, You are not subject to the jurisdiction provision under Section 7, which requires all disputes under this Agreement to be subject to the jurisdiction of federal or state courts of Northern Texas.
    • 1.4 - For the Software or any Modification You distribute in compiled or object code format, You must also provide recipients with access to the Software or Modification in source code format along with a complete copy of this Agreement. The distribution of the Software or Modifications in compiled or object code format may be under a license of Your choice, provided that You are in compliance with the terms of this Agreement. In addition, You must make absolutely clear that any license terms applying to such Software or Modification that differ from this Agreement are offered by You alone and not by Zimbra, and that such license does not restrict recipients from exercising rights in the source code to the Software granted by Zimbra under this Agreement or rights in the source code to any Modification granted by You as described in Section 1.3.
    • 1.5 - This Agreement does not limit Your right to distribute files that are entirely Your own work (i.e., which do not incorporate any portion of the Software and are not Modifications) under any terms You choose.
  • 2. Support
    • Zimbra has no obligation to provide technical support or updates to You. Nothing in this Agreement requires Zimbra to enter into any license with You for any other edition of the Software.
  • 3. Intellectual Property Rights
    • 3.1 - Except for the license expressly granted under copyright in Section 1.1, no rights, licenses or forbearances are granted or may arise in relation to this Agreement whether expressly, by implication, exhaustion, estoppel or otherwise. All rights, including all intellectual property rights, that are not expressly granted under this Agreement are hereby reserved.
    • 3.2 - In any copy of the Software or in any Modification you create, You must retain and reproduce any and all copyright, patent, trademark, and attribution notices that are included in the Software in the same form as they appear in the Software. This includes the preservation of attribution notices in the form of trademarks or logos that exist within a user interface of the Software.
    • 3.3 - This license does not grant You rights to use any party’s name, logo, or trademarks, except solely as necessary to comply with Section 3.2.
  • 4. Disclaimer of Warranties
    • THE SOFTWARE IS PROVIDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND. ZIMBRA MAKES NO WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING OR RELATING TO THE SOFTWARE. SPECIFICALLY, ZIMBRA DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR FREE OR WILL PERFORM IN AN UNINTERRUPTED MANNER. TO THE GREATEST EXTENT ALLOWED BY LAW, ZIMBRA SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE (EVEN IF ZIMBRA HAD BEEN INFORMED OF SUCH PURPOSE), AND NONINFRINGEMENT WITH RESPECT TO THE SOFTWARE, ANY MODIFICATIONS THERETO, AND WITH RESPECT TO THE USE OF THE FOREGOING.
  • 5. Limitation of Liability
    • IN NO EVENT WILL ZIMBRA BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, LOSS OF DATA, AND COST OF COVER) IN CONNECTION WITH OR ARISING OUT OF OR RELATING TO THE FURNISHING, PERFORMANCE, OR USE OF THE SOFTWARE OR ANY OTHER RIGHTS GRANTED HEREUNDER, WHETHER ALLEGED AS A BREACH OF CONTRACT OR TORTIOUS CONDUCT, INCLUDING NEGLIGENCE, AND EVEN IF ZIMBRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • 6. Term and Termination
    • 6.1 - This Agreement will continue in effect unless and until terminated earlier pursuant to this Section 6.
    • 6.2 - In the event You violate the terms of this Agreement, Zimbra may terminate this Agreement.
    • 6.3 - All licenses granted hereunder shall terminate upon the termination of this Agreement. Termination will be in addition to any rights and remedies available to Zimbra at law or equity or under this Agreement.
    • 6.4 - Termination of this Agreement will not affect the provisions regarding reservation of rights (Section 3.1), provisions disclaiming or limiting Zimbra’s liability (Sections 4 and 5), Termination (Section 6), or Miscellaneous (Section 7), which provisions will survive termination of this Agreement.
  • 7. Miscellaneous
    • This Agreement contains the entire agreement of the parties with respect to the subject matter of this Agreement and supersedes all previous communications, representations, understandings, and agreements, either oral or written, between the parties with respect to said subject matter. The relationship of the parties hereunder is that of independent contractors, and this Agreement will not be construed as creating an agency, partnership, joint venture, or any other form of legal association between the parties. If any term, condition, or provision in this Agreement is found to be invalid, unlawful, or unenforceable to any extent, this Agreement will be construed in a manner that most closely effectuates the intent of this Agreement. Such invalid term, condition or provision will be severed from the remaining terms, conditions, and provisions, which will continue to be valid and enforceable to the fullest extent permitted by law. This Agreement will be interpreted and construed in accordance with the laws of the State of Texas and the United States of America, without regard to conflict of law principles. The U.N. Convention on Contracts for the International Sale of Goods shall not apply to this Agreement. All disputes arising out of this Agreement involving Zimbra or any of its parents or subsidiaries shall be subject to the jurisdiction of the federal or state courts of Northern Texas, with venue lying in Dallas County, Texas. No rights may be assigned, no obligations may be delegated, and this Agreement may not be transferred by You, in whole or in part, whether voluntary or by operation of law, including by way of sale of assets, merger, or consolidation, without the prior written consent of Zimbra, and any purported assignment, delegation, or transfer without such consent shall be void ab initio. Any waiver of the provisions of this Agreement or of a party’s rights or remedies under this Agreement must be in writing to be effective. Failure, neglect, or delay by a party to enforce the provisions of this Agreement or its rights or remedies at any time will not be construed or be deemed to be a waiver of such party’s rights under this Agreement and will not in any way affect the validity of the whole or any part of this Agreement or prejudice such party’s right to take subsequent action.
